SEBI vide its notifications dated September 8,2025 amended the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, to provide inter-alia that a Not for Profit Organisation (NPO) that is registered with a Social Stock Exchange (“SSE”) shall be permitted to remain registered without raising funds, for a maximum period of two years from the date of registration.
In alignment with these regulatory changes, BSE has implemented the following measures:
- New registrations of NPOs on “BSE SSE platform” from September 9, 2025, onwards will be valid for a period of two (2) years.
- Valid registrations existing as on September 9, 2025, will also be allowed to continue for a period of two (2) years from the date of their respective registrations.
Please note that if an NPO does not raise funds within the two-year validity period, its registration will automatically lapse.
All stakeholders are advised to take note of this important update.
